These Terms of Service (“Terms”) govern your access to and use of samuelbleemd.com (the “Website”) and all products, services, courses, communities, and digital content offered by Transcendence Mental Health LLC (“Company,” “we,” “our,” “us”). By using the Website or purchasing any product or service from us, you agree to be bound by these Terms.
If you do not agree to these Terms, do not use the Website.
You must be at least 18 years old and able to enter into a legally binding contract to use the Website or purchase from us. By using the Website, you represent and warrant that you meet these requirements.
Some products and services require you to create an account on the Website or on a third-party platform we use (such as LearnWorlds or Skool). You are responsible for:
We offer (without limitation):
Specific terms, deliverables, pricing, and access duration for each product are described on its respective sales or product page at the time of purchase, and those terms are incorporated into these Terms.
When you purchase from us, you authorize us (and our designated payment processors, including but not limited to Stripe, PayPal, Sunbit, Klarna, Affirm, and Whop) to charge the full purchase price plus any applicable taxes and fees to your payment instrument.
Some products are available on installment payment plans. By selecting a payment plan, you authorize us (or our processor) to automatically charge the agreed installment amount on the agreed dates. You remain obligated to pay all scheduled installments regardless of whether you continue to access or use the program, except as expressly provided in Section 5 (Refunds and Cancellation).
Subscription-based products (such as Eternal Life Tribe on Skool) renew automatically on the billing cycle stated at signup until canceled. You may cancel through the platform where you subscribed (for example, directly inside Skool for ELT).
If a scheduled payment fails, we may suspend or revoke access to the product until payment is resolved. Repeated failed payments may result in cancellation of the program and acceleration of any remaining balance.
We offer a 3-day refund window for VHM. To qualify:
After 3 calendar days from your purchase date, all sales are final. This applies whether or not you have accessed program materials, attended coaching calls, or completed any portion of the program. If you are on a payment plan, you remain obligated to pay all remaining scheduled installments regardless of your continued participation.
ELT is a monthly subscription billed through Skool. You may cancel at any time through your Skool account. No partial-month refunds are issued. Canceling stops future charges but does not refund the current billing period.
Unless expressly stated otherwise on the product’s sales page, all digital courses, downloads, and digital products are non-refundable once purchased.
Individual session bookings may be rescheduled up to 24 hours before the scheduled session, subject to availability. Sessions canceled with less than 24 hours notice, or missed sessions (“no-shows”), are non-refundable and forfeit any session credit. Completed sessions are non-refundable.
Outside of the policies above, refunds may be granted in our sole discretion in cases of demonstrable technical access failure or other exceptional circumstances. Discretionary refunds do not create a course of dealing and do not modify these Terms.
If you initiate a chargeback or payment dispute outside of the refund policies above, we reserve the right to (i) revoke your access to all products and services, (ii) recover the disputed amount and associated fees through collection, and (iii) terminate your relationship with us.
Subject to your full payment and ongoing compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the courses, materials, and content you have purchased solely for your personal, non-commercial use.
You may not:
All content on the Website and within our products (including text, videos, audio, images, course materials, methodologies, frameworks, software, and trademarks) is the property of Transcendence Mental Health LLC or its licensors and is protected by United States and international copyright, trademark, and other intellectual property laws. All rights not expressly granted in these Terms are reserved.
You agree not to:
Violation of this section may result in immediate termination of your account and access without refund.
This Website and all products, services, courses, and content offered by us are for educational and informational purposes only. Nothing on this Website or in any of our offerings constitutes medical advice, psychiatric treatment, therapy, diagnosis, or any other professional healthcare service. No physician-patient or therapist-client relationship is created by your use of the Website or purchase of our products or services.
Samuel B. Lee, M.D. is a licensed psychiatrist, but his role on this Website and within our programs is educational, not clinical. Information you provide through the Website or community platforms is not protected health information under HIPAA.
You are solely responsible for your own physical, mental, emotional, and spiritual health. Consult a qualified, licensed healthcare provider before making any health decisions. If you are in crisis, call 988 (Suicide and Crisis Lifeline) or 911.
We make no guarantee of any specific health, spiritual, financial, or business outcomes from participation in our programs.
The Website and all products and services are provided “as is” and “as available,” without warranties of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, non-infringement, or uninterrupted or error-free operation. We do not warrant any specific results from participation in our programs.
To the maximum extent permitted by law, in no event shall Transcendence Mental Health LLC, its members, officers, employees, contractors, or affiliates be liable for any indirect, incidental, consequential, special, punitive, or exemplary damages, or for any loss of profits, revenue, data, or business opportunities, arising out of or related to your use of the Website or our products or services, even if we have been advised of the possibility of such damages.
Our total cumulative liability to you for any claim arising out of or related to these Terms or your use of the Website shall not exceed the amount you paid to us in the 6 months preceding the event giving rise to the claim.
You agree to indemnify, defend, and hold harmless Transcendence Mental Health LLC, its members, officers, employees, contractors, affiliates, and licensors from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees) arising out of or related to: (a) your use of the Website or our products and services; (b) your breach of these Terms; (c) your violation of any law or third-party right; or (d) any content you submit to our community platforms or coaching sessions.
These Terms are governed by the laws of the State of Utah, without regard to conflict-of-laws principles.
Before filing any formal claim, you agree to first contact us at care@samuelbleemd.com to attempt to resolve the dispute informally. We will work in good faith to resolve disputes for 30 days.
If informal resolution fails, any dispute arising out of or related to these Terms or our products or services shall be resolved by binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules. The arbitration shall be conducted in Utah or by video conference, in English, by a single arbitrator. Judgment on the award may be entered in any court of competent jurisdiction.
You and we agree that any claim will be brought in our individual capacities and not as a plaintiff or class member in any purported class or representative action. You waive any right to a jury trial.
Either party may bring a claim in small claims court if eligible, or seek injunctive relief in a court of competent jurisdiction for misuse of intellectual property.
We may suspend or terminate your access to the Website or any product or service at any time, with or without notice, for violation of these Terms or for any reason in our sole discretion. Upon termination:
You may terminate your relationship with us at any time by canceling your account and ceasing use of the Website. Cancellation does not entitle you to a refund except as expressly provided in Section 5.
We may modify these Terms at any time. The “Last Updated” date at the top reflects the most recent revision. Material changes will be communicated by posting a notice on the Website or by email. Your continued use of the Website after changes are posted constitutes acceptance of the revised Terms.
